3. Eligibility and Account Requirements

To use ChartGuru, you must:

• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information when creating an account
• Maintain and promptly update your account information
• Not be located in a jurisdiction where use of our Service is prohibited by law

4. Accounts and Security

When you create an account with ChartGuru, you are responsible for:

• Accurate Information: Providing and maintaining accurate, current, and complete account information. We reserve the right to suspend or terminate accounts with false, incomplete, or outdated information.

We implement security measures to protect your account, but you are ultimately responsible for maintaining the security of your credentials. We are not liable for any loss or damage arising from your failure to comply with these security obligations.

5. Subscriptions, Billing, and Payments

5.1 Subscription Plans

ChartGuru offers various subscription plans, including Free, Starter, Professional, and Enterprise tiers. Each plan provides different features, usage limits, and access levels as described on our pricing page.

5.2 Billing and Payment

• Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method for the subscription fee.
• Recurring Billing: Paid subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your plan) unless you cancel before the renewal date.
• Payment Methods: We accept major credit cards, debit cards, and other payment methods supported by Stripe. You are responsible for ensuring your payment method is valid and up to date.
• Price Changes: We reserve the right to modify subscription prices at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will notify you of any price changes at least 30 days in advance.

5.3 Cancellation and Refunds

• Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period, and you will retain access until that time.
• No Refunds: Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy. We do not provide refunds for partial billing periods or unused portions of your subscription.
• Refund Policy: In exceptional circumstances, we may provide refunds at our sole discretion. Refund requests must be submitted within 14 days of the charge date and will be evaluated on a case-by-case basis.

6. Acceptable Use Policy

You agree to use ChartGuru only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Unauthorized Access: Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
• Data Scraping: Use automated systems, bots, scrapers, or other means to extract data from the Service without our express written permission
• Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Account Sharing: Share, resell, rent, or otherwise transfer your account access to any third party
• Illegal Activities: Use the Service for any unlawful purpose or in violation of any applicable laws, regulations, or third-party rights

• News Sources: Aggregated news feeds and financial news providers
• Cloud Services: Infrastructure and hosting services (e.g. AWS, Google Cloud)

Data Accuracy and Availability: While we strive to provide accurate and timely information, we do not guarantee the accuracy, completeness, or availability of data from third-party providers. Market data may be delayed, incomplete, or unavailable due to provider limitations or technical issues.

Third-Party Terms: Your use of data provided by third parties may be subject to their respective terms of service and privacy policies. We are not responsible for the content, accuracy, or availability of third-party data or services.

Service Interruptions: We are not liable for any interruptions, delays, or failures in data delivery resulting from third-party provider issues, network problems, or other factors beyond our control.

8. No Financial Advice; Risk Disclosure

All rights, title, and interest in and to the Service remain with ChartGuru and our licensors. This includes:

• All software, code, algorithms, and technical implementations
• All content, including text, graphics, logos, icons, images, and audio-visual materials
• All trademarks, service marks, and trade names
• All AI models, predictions, and analysis outputs

9.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for your personal or internal business purposes
• View and download content for your personal, non-commercial use

This license does not include the right to:

• Reproduce, distribute, modify, or create derivative works of the Service
• Use the Service for commercial purposes without our express written permission

10. Termination

10.1 Termination by You

Upon termination, your right to use the Service will immediately cease. You will not be entitled to any refund for unused subscription periods, except as required by law.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms or our Acceptable Use Policy
• Suspected fraud, abuse, or illegal activity
• Non-payment of subscription fees
• Extended periods of account inactivity
• At our sole discretion, for any other reason

Upon termination, we may delete your account and all associated data, subject to our data retention policies and legal obligations.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHARTGURU, SUPERAGENTS LABS, AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
